Welcome to the HelmShare website. These terms of use ("Terms") are a legal contract between you and DRIFTER, which owns and operates HelmShare ("we" or "our"). By using this website, you indicate that you have read and accept these Terms. You cannot use this website if you do not accept these Terms. These Terms govern your use of all the text, data, information, software, graphics, photographs, and other materials ("Materials") that we may make available to you, and any services provided through this website.

This website provides information about HelmShare Prime Fund, L.P., a Cayman Islands exempted limited partnership (the Fund), and the activities of HelmShare. The information on this website is provided for information only. It is not an offer to sell, or a solicitation of an offer to buy, any limited partnership interests in the Fund or any other securities, in any jurisdiction in which, or to any person to whom, such an offer or solicitation would be unlawful. Any offer of interests in the Fund is made only to eligible investors through the confidential Private Placement Memorandum of the Fund and the related subscription documents, which prevail over anything on this website. No regulator has approved or passed upon the Fund, the interests, or this website.

The interests in the Fund are offered only outside the United States to non-United States persons in reliance on Regulation S under the United States Securities Act of 1933, and are not offered or sold to, and may not be acquired by or for the account of, any United States person. By using this website you confirm that you are not a United States person and that you are not accessing the website on behalf of a United States person.

The Fund is a closed-end private market alternative asset fund. Detailed offering materials are made available only to eligible investors in permitted markets, namely professional investors in the European Union and European Economic Area under the AIFMD National Private Placement Regime, certified high net worth individuals and certified or self-certified sophisticated investors in the United Kingdom, professional investors in the United Arab Emirates, and qualified or institutional clients in the Kingdom of Saudi Arabia. The Fund is not available to retail investors. By proceeding to any restricted area of this website you confirm that you fall within an eligible investor category for your market and that marketing has been confirmed as permitted in your jurisdiction.

An investment in the Fund involves a high degree of risk, including the risk of total loss of capital. The interests are illiquid and there is no public market for them. Returns, including the Preferred Return of 8 percent per annum and the targeted return of 100 percent of principal at the end of the Term, are targeted or projected only. They are not guaranteed, fixed or secure. Any reference to a yield from the charter operator is a contractual commitment from that operator to the Fund only, subject to the operator's creditworthiness and performance, and is not a guarantee or return to investors. We may alter the Materials and services we offer and may modify, suspend, or discontinue this website at any time. We may also change, update, add or remove provisions (collectively, "modifications") of these Terms from time to time. We will inform you of any modifications by posting them on this website. If you object to any modifications, your sole recourse is to cease using this website. Continued use of this website following notice of any modifications indicates that you agree to be bound by the modifications.

By using this website, you confirm that you are at least 18 years of age and that you have the legal capacity to enter into these Terms. We grant you a limited, personal, non-exclusive, and non-transferable licence to use and display the Materials for the purpose of evaluating information about the Fund and HelmShare. Your right to use the Materials is conditioned on your compliance with these Terms. Any dispute arising out of or relating to these website Terms, or the breach thereof, shall be resolved as set out in those documents or, in their absence, by the courts or arbitration forum specified by us at the relevant time.
